Here's a step-by-step guide to incorporate a company in Singapore:
Choose a Company Name
- Name Search: Check the availability of your desired company name on ACRA's online portal, BizFile+.
- Reserve Name: Once the name is approved (it must not be identical or too similar to existing names and not contain any prohibited words), it can be reserved for 120 days.
Prepare Required Documents
- Company Constitution: Draft the company’s constitution (previously known as Memorandum and Articles of Association).
- Details of Directors, Shareholders, and Company Secretary: Gather personal details, consent forms, and identification documents (passport, proof of address).
Appoint Key Personnel
- Directors: At least one director must be a Singapore resident (citizen, permanent resident, or holder of an Employment Pass or EntrePass).
- Company Secretary: Must be appointed within six months of incorporation and be a resident of Singapore.
- Shareholders: Can be individuals or corporate entities. A minimum of one shareholder is required.
Registered Address
Local Address: Provide a local Singapore address for the company's registered office. It must be a physical address (no P.O. Boxes).
Capital
Initial Paid-Up Capital: The minimum paid-up capital is SGD 1. Additional capital can be added after incorporation.
Incorporation Application
- File with ACRA: Submit the incorporation application through BizFile+. Include the proposed company name, details of directors, shareholders, company secretary, registered address, and company constitution.
- Pay Fees: The fee for name reservation is SGD 15, and the registration fee is SGD 300.
Post-Incorporation
- Certificate of Incorporation: Upon successful registration, ACRA issues an e-Certificate of Incorporation.
- Business Profile: Download the business profile from BizFile+ for official records.
- Corporate Bank Account: Open a corporate bank account with a bank in Singapore.
- Licenses and Permits: Apply for any necessary business licenses or permits relevant to your business activity.
Compliance
- Annual Returns: Ensure timely filing of annual returns and financial statements with ACRA.
- Tax Registration: Register for Goods and Services Tax (GST) if applicable.
